Terms of Service
These terms describe how the Influex marketplace operates for brands, creators, payments, collaboration records, and platform use.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Influex platform ("Platform") operated by Influex ("we", "us", or "our") at getinfluex.com.
By creating an account or using the Platform, you confirm that you are at least 18 years old, have read these Terms, and agree to be bound by them. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
By agreeing to these Terms, you confirm you are 18 years of age or older. If you are under 18, you are not permitted to use Influex.
2. Age Requirement
You must be 18 years of age or older to use Influex.
Influex is a commercial marketplace involving financial transactions, brand contracts, and content licensing agreements. Use of the Platform is strictly limited to individuals who are 18 years of age or older.
By registering an account, you represent and warrant that:
- You are at least 18 years old;
- You have the legal capacity to enter into a binding agreement;
- You are not barred from using the Platform under applicable law.
If we discover or have reason to believe that a user is under 18, we reserve the right to immediately suspend or permanently terminate that account without notice, cancel any active collaborations, and reverse any pending payments. We will not be liable for any loss resulting from such termination.
If you are a parent or guardian and believe a minor has registered on Influex, please contact us immediately at hello@getinfluex.com. We will investigate and take appropriate action, including account removal.
3. Platform Description
Influex is a two-sided influencer marketing marketplace that connects D2C brands ("Brands") with micro-creators ("Creators") for paid and barter collaborations. The Platform facilitates:
- Creator discovery and profile browsing
- Campaign creation, management, and creator applications
- Direct messaging between brands and creators
- Collaboration milestone tracking (confirmed → shipped → draft submitted → completed)
- Razorpay escrow payments for paid collaborations (brand pays, funds held until completion)
- Brand subscription billing via Razorpay (recurring monthly or annual plans)
- Admin-managed creator payouts to UPI or bank account on collaboration completion
- Contract generation and electronic acceptance
- Dispute resolution for paid collaborations
Influex is a platform intermediary. We do not create content, run campaigns, ship products, guarantee content delivery, or guarantee campaign outcomes.
4. Account Registration
To use the Platform, you must:
- Provide accurate and complete registration information
- Keep your account credentials confidential
- Notify us immediately of any unauthorised access to your account
- Not create multiple accounts or share accounts with others
- Not impersonate any person or entity
You are responsible for all activity that occurs under your account. We reserve the right to terminate accounts that violate these Terms.
5. Brand Terms
5.1 Campaign Conduct
As a Brand, you agree to:
- Provide accurate, complete, and honest campaign briefs
- Treat creators professionally and respectfully at all times
- Ship the agreed product to the creator within the timeline specified in the collaboration brief, using a tracked shipping method
- Provide the correct product as described - no substitutions without the creator's consent
- Not request cash payments from creators or offer cash in lieu of the barter arrangement
- Not request unpaid work or excessive content revisions beyond the agreed scope
- Not contact creators outside the Platform to circumvent subscription or Platform terms
- Review and respond to submitted content within the agreed review period
5.2 Product Shipping Risk
Brands ship products to creators entirely at their own risk and expense. Influex has no involvement in the physical shipment of products and bears no responsibility whatsoever for:
- Products lost, damaged, delayed, or stolen in transit
- Incorrect or incomplete shipping addresses provided by a creator
- Customs, import duties, or cross-border shipping restrictions
- A creator's refusal to accept delivery
Brands are solely responsible for confirming shipping details with the creator via the Platform's messaging system before dispatch. Influex recommends using insured, tracked shipping for all product deliveries.
5.3 Prohibited Campaigns
You may not create campaigns that involve:
- Illegal products or services
- Adult content, gambling, tobacco, or regulated financial products
- Misleading claims or deceptive advertising
- Content that discriminates on the basis of religion, caste, gender, or ethnicity
- Fake engagement, review manipulation, or astroturfing
6. Creator Terms
6.1 Content Delivery Obligations
As a Creator, you agree to:
- Only apply to campaigns relevant to your actual audience and niche
- Deliver content that meets the agreed brief, quality standard, and deadline
- Accept the brand's product only for campaigns you genuinely intend to complete
- Not accept a product and then fail to deliver the agreed content without valid cause
- Disclose paid partnerships and product-gifting arrangements as required by ASCI guidelines and applicable law
- Not submit plagiarised, AI-generated-without-disclosure, or fake content
- Maintain accurate follower and engagement data on your profile
- Communicate promptly with the brand if circumstances prevent timely delivery
6.2 Profile Accuracy
You must not misrepresent your follower count, engagement rate, or audience demographics. Accounts found to have artificially inflated metrics will be suspended. Creators found to have accepted products without any intention to deliver content may be permanently banned and reported to relevant authorities.
7. Subscription Plans, Payments, and Escrow
7.1 Brand Subscription Plans
Brands may use the Platform on a PAYG basis or under a paid subscription plan. Current plans:
- PAYG: ₹499 per barter campaign activation; 18% commission on paid collaborations; up to 3 creators per campaign
- Starter - ₹999/month or ₹9,990/year: 3 barter campaigns/month, up to 5 creators per campaign, 12% commission on paid deals
- Growth - ₹2,499/month or ₹24,990/year: 7 barter campaigns/month, up to 10 creators per campaign, 11% commission on paid deals, priority email support
- Pro - ₹4,999/month or ₹49,990/year: Unlimited campaigns, up to 15 creators per campaign, 10% commission on paid deals, WhatsApp support
Subscription fees are charged to the Brand only. Creators are never charged. Campaign limits reset at the start of each billing cycle. Annual plans are billed upfront and grant access for 12 months.
7.2 Paid Collaborations and Escrow
For paid (non-barter) collaborations, the Brand pays the agreed creator fee plus a platform commission through Razorpay at the point of collaboration confirmation. Funds are held in escrow by the Platform and released to the creator only after:
- The Brand marks the collaboration as completed, or
- An admin resolves a dispute in the creator's favour
The creator always receives the full agreed price. The platform commission is charged to the brand on top of the agreed price. The applicable commission rate is determined by the brand's active subscription plan at the time of payment.
7.3 Barter Collaborations
Barter collaborations involve no monetary payment between Brand and Creator. Brands provide a product or service; creators provide content. No escrow is created for barter collaborations. PAYG brands pay ₹499 to activate each barter campaign; this fee is retained by the Platform and is non-refundable.
7.4 Subscription Billing and Cancellation
Subscriptions are billed via Razorpay and auto-renew until cancelled. By subscribing, you also agree to Razorpay's terms of service.
- You may cancel your subscription at any time from your account dashboard
- Cancellation takes effect at the end of the current billing period. You retain full access until then
- No refunds are issued for the current billing period, partially used months, or unused campaign slots
- Annual plans are non-refundable once the billing period has started
- Admin-granted trial subscriptions do not auto-renew and do not require a payment method
7.5 Subscription Fees and Creator Non-Delivery
Influex does not refund subscription fees due to a creator's failure to deliver content. Subscription fees pay for access to the Platform's features and creator network. They are not insurance against creator non-performance. For paid collaborations, the escrow and dispute system provides recourse; for barter collaborations, brands acknowledge and accept the risk of non-delivery before initiating.
8. Collaboration Agreements, Non-Delivery, and Liability
8.1 Influex is a Platform Intermediary, Not a Party
Influex provides technology infrastructure to facilitate introductions and barter collaborations between Brands and Creators. Influex is not a party to any collaboration agreement, campaign brief, or contract entered into between a Brand and a Creator. Each collaboration is a direct, independent agreement solely between the Brand and the Creator.
8.2 Creator Non-Delivery - Influex Has No Liability
When a Creator accepts a barter collaboration and receives the Brand's product, the Creator alone is responsible for delivering the agreed content by the agreed deadline. Influex makes no guarantee, express or implied, that any Creator will deliver any content.
Influex Parties (defined below) bear absolutely no responsibility, liability, or obligation of any kind arising from a Creator's failure to deliver content, including but not limited to:
- A Creator receiving the product and then posting no content
- A Creator delivering content that does not meet the agreed brief or quality standard
- A Creator delivering content after the agreed deadline
- A Creator going silent, becoming uncontactable, or abandoning the collaboration after accepting
- Any financial loss, product cost, shipping cost, opportunity cost, or reputational harm suffered by the Brand as a result of non-delivery
By using the Platform to initiate a barter collaboration, Brands expressly acknowledge and accept that creator non-delivery is a business risk of barter arrangements and that their sole recourse is against the individual Creator, not Influex.
8.3 Brand's Remedies for Creator Non-Delivery
If a Creator fails to deliver, a Brand's available remedies are limited to:
- Raising a dispute through the Platform within 14 days of the agreed deadline. Influex may, at its sole discretion, review the case and take action against the Creator's account
- Direct negotiation with the Creator for a revised timeline or alternative resolution
- Civil legal action against the Creator directly under applicable Indian law
Influex's dispute review is offered as a courtesy, not a contractual obligation. Influex's decision to investigate, warn, suspend, or take no action against a Creator does not create any financial liability on Influex's part toward the Brand.
8.4 User Responsibility for Contractual Obligations
Both Brands and Creators are individually and exclusively responsible for fulfilling their respective obligations under each collaboration:
- Brands: providing a complete brief, shipping the product on time to the correct address, reviewing deliverables promptly, and not making unreasonable revision requests
- Creators: delivering content to brief, on time, to the agreed standard, with correct legal disclosures
8.5 Breach of Contract - Sole Responsibility of the Breaching Party
Any breach of a collaboration agreement, including non-delivery of content, delivery of substandard content, failure to ship the correct product, misrepresentation of deliverables, or any other failure to meet agreed terms, is the sole and exclusive responsibility of the party who committed the breach.
Influex Parties bear absolutely no responsibility, liability, or obligation of any kind arising from or related to any breach of contract between a Brand and a Creator. By using the Platform, both Brands and Creators expressly agree that:
- They have no claim against any Influex Party arising from the other user's breach
- Influex is not liable for any financial loss, reputational harm, missed opportunity, or consequential damages arising from such a breach
- Influex's optional dispute review process does not create or imply any liability or guarantee on the part of Influex
- Any legal action for breach of a collaboration agreement must be directed solely at the breaching party, not at Influex
8.6 Escrow - Paid Collaborations Only
For paid collaborations, Influex holds funds in escrow via Razorpay between the Brand's payment and the admin-initiated creator payout. Escrow protection does not apply to barter collaborations. No funds are held for product-only deals. Influex tracks collaboration milestones digitally (product shipped, content submitted, content approved) for all collaboration types as a platform service only. This tracking does not constitute a guarantee, insurance, or financial obligation beyond what is described in Section 6.
8.7 Click-to-Accept Contract
When both a Brand and a Creator click "I Accept These Terms" on a collaboration agreement within the Platform, that acceptance constitutes a binding electronic agreement between those two parties under the Information Technology Act, 2000 (India). Influex records the acceptance timestamp and user identification solely as a platform service. This recording does not make Influex a party to, or guarantor of, that agreement.
9. Intellectual Property
9.1 Content Ownership
Creators retain ownership of the content they create. By delivering content through the Platform, Creators grant the Brand a licence to use the content as specified in the campaign brief (e.g., usage rights, exclusivity period, platforms).
9.2 Default Usage Rights - Organic Only
Unless explicitly agreed otherwise in the campaign brief, all collaborations facilitated through the Platform include organic usage rights only, meaning the Brand may use the delivered content solely for organic social media posts and owned-channel sharing. Organic usage does not include:
- Paid social media advertising (Meta Ads, Google Ads, YouTube Ads, or any other paid placement)
- Whitelisting or dark posting through the Creator's account
- Out-of-home, print, broadcast, or any offline advertising
- Licensing or sublicensing the content to third parties
Any Brand that wishes to use Creator content for paid advertising or whitelisting must negotiate a separate, written agreement directly with the Creator and compensate them accordingly beyond the product provided under the barter collaboration. Influex is not a party to any such separate agreement and bears no responsibility for its terms, enforcement, or any disputes arising from it.
9.3 No Liability for Misuse of Content Rights
Influex expressly disclaims all liability for any misuse of Creator content by a Brand beyond the usage rights granted in the campaign brief. This includes, without limitation:
- Using Creator content in paid advertisements without the Creator's consent or separate written authorisation
- Whitelisting or boosting a Creator's post without their explicit permission
- Repurposing, modifying, or sublicensing content in ways not agreed upon in the collaboration
- Any claim, fine, platform penalty, or legal action arising from unauthorised content use
Creators who believe their content has been used beyond agreed rights should contact the Brand directly. Influex may, at its sole discretion, investigate and take action against a Brand account (including suspension) where evidence of systematic misuse is presented, but is under no obligation to do so and accepts no financial or legal liability in connection with such misuse.
9.4 Platform Content
All Platform features, design, code, trademarks, and branding are owned by Influex. You may not copy, reproduce, or use them without written permission.
9.5 User Content Licence
By uploading content to the Platform (profiles, campaign materials, messages), you grant Influex a non-exclusive, worldwide licence to display and use that content solely for the purpose of operating the Platform.
10. Prohibited Conduct
You may not use the Platform to:
- Circumvent Platform commission or subscription terms by arranging off-platform payments with users discovered through the Platform
- Harass, threaten, or abuse other users
- Upload malware, spam, or phishing content
- Scrape or extract data from the Platform using automated tools
- Attempt to reverse engineer, hack, or disrupt the Platform
- Create fake reviews, fake engagement, or fake profiles
- Accept brand products without genuine intent to deliver the agreed content
- Violate any applicable Indian or international law
Violation of these rules may result in immediate account suspension, permanent ban, and legal action where applicable.
11. Account Suspension and Termination
We may suspend or terminate your account if you:
- Violate these Terms or our community standards
- Engage in fraudulent activity
- Receive multiple substantiated complaints from other users
- Provide false information during registration
- As a Creator, repeatedly accept products and fail to deliver content
You may close your account at any time by contacting hello@getinfluex.com. Pending obligations (active campaigns, ongoing collaborations) must be resolved before account closure.
12. Disclaimers and Limitation of Liability
12.1 Platform Provided As-Is
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee:
- Campaign outcomes, brand awareness, or ROI for Brands
- A minimum number of campaign opportunities or product earnings for Creators
- That any Creator will deliver content once a collaboration is accepted
- That any Brand will ship product on time or at all
- Uninterrupted, error-free, or secure access to the Platform
12.2 No Liability for User-to-User Disputes or Breach
Influex Parties expressly disclaim all liability for any loss, damage, or harm, direct, indirect, incidental, consequential, or punitive, arising from any breach of contract, non-performance, fraud, misrepresentation, or dispute between a Brand and a Creator. This includes but is not limited to:
- A Creator failing to deliver content after accepting the collaboration and receiving the product
- A Brand failing to ship the correct product on time
- Either party misrepresenting their identity, capabilities, or metrics
- Loss of product value, shipping costs, business opportunity, or reputation resulting from the other party's conduct
- Any claim arising from the content created or published under a collaboration
- Any Brand's unauthorised use of Creator content for paid advertising, whitelisting, or any purpose beyond the organic usage rights granted in the campaign brief
- Any legal, regulatory, or platform enforcement action resulting from a Brand's misuse of Creator content rights
Your sole recourse for such matters is against the individual Brand or Creator directly. You agree that you will not initiate legal proceedings, arbitration, or regulatory complaints against any Influex Party in connection with another user's conduct or breach.
12.3 Cap on Influex's Liability
To the maximum extent permitted by applicable law, Influex's total aggregate liability to you for any and all claims arising from your use of the Platform is limited to the subscription fees actually paid by you to Influex in the 3 calendar months immediately preceding the event giving rise to the claim.
In no event shall any Influex Party be liable for indirect, incidental, special, exemplary, punitive, or consequential damages of any kind, including but not limited to loss of product value, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
12.4 Indemnity
You agree to indemnify, defend, and hold harmless Influex Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your breach of these Terms
- Your breach of any collaboration agreement with another user
- Content you create, upload, or publish through the Platform
- Your violation of any applicable law or third-party right
- Any product you ship to a creator
- Your use of Creator content beyond the organic usage rights granted in a barter campaign brief, including any paid advertising, whitelisting, or sublicensing without the Creator's separate written consent
13. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
Before initiating legal proceedings, you agree to contact us at hello@getinfluex.com and attempt to resolve the dispute informally within 30 days.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify registered users via email at least 14 days before the changes take effect, and update the "Last updated" date at the top of this page.
Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
